Seller's Permit or Resale License

     If you want to buy any taxable merchandise such as jewelry or clothing at wholesale prices to make jewelry to re-sell, or to buy clothing and accessories to resell them, then you need state sellers permit or sales tax license also called a resale license.

  

  States Require A Sellers Permit


     This is because most states require jewelry vendors to collect tax on sales made within that state as opposed to out of state.  For example, you are in California and you sell a piece of jewelry, e.g., a gold ring, to a New Yorker.  Since your business is located in CA, you do not need to charge taxes.

  

Selling in-state requires that you charge sales tax

      On the other hand, if you sell in California you need to charge sales tax on every retail sale that’s shipped to any address within California.   So if you are selling your jewelry,  get your sellers permit also called a resale license.   There is no other way to buy wholesale and re-sell retail.  The implication is that even if you sell just wholesale, you still need to get the resale license.





    

        Anytime you run into a state inspection, the state it will you to show proof that tax-exempt sales are indeed sold to vendors with a valid Seller’s Permit. Unless you had a valid resale license at the time of the sale, you will have to pay the taxes or penalties of the sales without a resale license. Things are that harsh.





         For instance, you are located in Texas, and you try to buy wholesale from Pennsylvania, despite that you will not sell in PA, you will need  a resale certificate to produce to the wholesaler to make sure your can re-sell the items purchased wholesale.

  A:   You also need other licensing for hookah lounge.  Here is How To Start: First, you need a  General Business License   is because all entities need a business license and that is because all businesses need, well, a business license.   (Note that that is not a specific license to your type of business it is a BUSINESS license) as well.

   The specific license you need is called a seller's permit because you will need it to buy hookah lounge materials wholesale and sell them retail.     Note that "All Selle," is a fictitious business name so you need to register it with a DBA (doing business as) certificate, an LLC or corporation.  Since you said  you want a FL LLC, then the LLC will register your fictitious business name.
 

You can choose to be a(n) Resell :

  • Sole Proprietor,
  • LLC,
  • Corporation or
  • Partnership.
    After you decide and select your business entity, you need licensing.



Nashua Business Tax Registration ( Business License)
All businesses including home, online or mobile BUSINESS need a BUSINESS license because they are BUSINESSES.



A(n) Resell business doing business under an assumed business name in Hillsborough County i.e. you are a business with a trade name other than the owner's legal (full name) name are required to get a(n) assumed business name certificate.   E.g. you venture into a(n) Resell business and you give it a trade name such as "Excellence Resell & Associates". You will need to register an assumed business name certificate.

In addition note that in NH you may also need a seller's permit if you sell merchandise that is taxable.  (A.K.A state id, wholesale, resale, reseller certificate, about $39 for most states).

Note: All businesses need a federal tax ID number except sole proprietors that are not employers and are not independent contractors.
An independent contractor is a self employed business person that receives more than $600 per year from anyone of his or her clients.
IRS rule: The client must issue a 1099 form to the independent contractor and the independent contractor must have a federal tax ID. However, even sole owners may obtain a federal ID and use it as a business tax ID instead of using their own social security number as a business tax ID number.
However, all other licenses that apply to sole proprietors as discussed here are requited regardless of getting a federal tax ID number.


In addition you will need a federal and a state EIN if you will hire employees. I.e., a NH Federal Tax Id Number ($29)  and a(n) NH  State Employer Tax Number  


Instead of filing a fictitious business name DBA Filing (about $49 plus state and legal newspaper publication fees) in Nashua, Incorporate in NH  or form a(n) NH LLC
. 

You have a choice to file a DBA or form an LLC or incorporate. There is a cicrcumstance that you may not need to register a trade name and that is when you use your full name as a business name if you use your full legal name as a trade name.
Also note that even using your first and last name may not help you avoid filing a DBA if the name has a suffix such as "& sons" etc.



If you do form an Internet Selling llc or incorporate (about $49 plus state fees for most states) your Resell business instead of just filing a fictitious business name (dba), it will help you avoid personal liability from wrongs arising from your business dealings and you will not have to file the Nashua business name. Instead of just registering your Hillsborough County assumed business name (our fee includes assumed business name registration and legal newspaper publication) you can choose to setup a corporation in NH or form an NH LLC (starts @ $49 plus state fee for most states & includes required documents such as bylaws for the corporation and Limited Liability operating agreement for the LLC). .
